Objective of this Covenant:

  • The primary purpose of this covenant is to establish a comprehensive understanding of the expectations Intuitive Infrastructure Solutions (IIS) has for its suppliers and what suppliers should anticipate when engaging with IIS.
  • IIS is committed to fostering enduring relationships with suppliers, emphasizing ethical, sustainable, and legal business practices. Suppliers and their supply chains are expected to align with the principles outlined in this covenant.
  • At a minimum, compliance with local laws, international human and labor rights, and ethical standards is expected from all suppliers, including those already engaged and potential future partners.

Supplier Covenant Focus Areas:

1. Health, Safety, and Environment:

  • IIS prioritizes the health, safety, and environmental impact of its operations and expects suppliers to align with these values.
  • Collaboration with suppliers to ensure a secure supply chain.
  • Commitment to reducing carbon footprint and environmentally sustainable service delivery.
  • Implementation of processes to manage climate change risks and opportunities.
  • Sustainable procurement practices, considering environmental impact and value for money.

Supplier Obligations:

  • Prioritize the health, safety, and well-being of all employees, contractors, visitors, and communities affected by business activities.
  • Offer appropriate training to ensure employee capability and competence.
  • Conduct business with environmental respect and disclose efforts to reduce carbon footprint.
  • Collaborate with IIS for alternative, low-carbon, and sustainable product options.

  • Comply with health, safety, and environmental laws.

2. Business Ethics:

  • IIS maintains high ethical standards, strictly prohibiting corruption, extortion, embezzlement, or bribery for unfair advantages.
  • Strict adherence to anti-bribery and corruption policies, ensuring transparency and vigilance.
  • Clear and fair procurement processes and lasting relationships with suppliers.
  • Zero tolerance for bribery and ethical misconduct.
  • Regular audits to verify supplier compliance.

Supplier Obligations:

  • Extend principles and policies of the covenant to the entire supply chain.
  • Promptly respond to due diligence requests.
  • Refrain from offering or accepting anything influencing business decisions improperly.
  • Report potential conflicts of interest promptly.
  • Utilize the Speak Up policy for genuine concerns.

  • Compliance with laws, anti-corruption measures, and protection against financial crime.

3. Human Rights and Modern Slavery:

  • IIS upholds the highest standards of human and labor rights, with zero tolerance for modern slavery.
  • Commitment to prevent modern slavery in operations and supply chain.
  • Assessment of modern slavery risks and engagement with suppliers for understanding and alignment.

Supplier Obligations:

  • Prohibition of child labor and practices hindering child development.
  • No engagement in slavery, servitude, or involuntary labor.
  • No trafficking of individuals or groups for labor exploitation.

  • Upholding the highest standards of human and labor rights.

4. Responsible Business:

  • IIS’s responsible business strategy addresses challenges such as youth unemployment, digital inclusion, gender equality, climate change, and business ethics.
  • Collaboration with suppliers to tackle socio-economic issues and promote high standards of conduct.
  • Commitment to prompt payment and payment of the real living wage.

Supplier Obligations:

  • Showcase additional environmental and social value in goods and services.
  • Encourage support for community programs.
  • Adherence to the prompt payment code and payment of the real living wage for contracted or sub-contracted staff.

5. Diversity, Inclusion, and Equal Opportunities:

  • Deployment of IT and physical security controls.
  • Conducting pre-employment background checks and risk management protocols.

7. Privacy:

  • Processing data only in accordance with IIS instructions.

8. Resilience:

  • Assurance of continuity of product or service delivery in ‘business as usual’ operations.

9. Reporting on Breaches:

  • Suppliers are required to promptly report any non-compliance with the covenant, with a commitment to investigate and address issues.

Supplier Obligations:

  • Encouragement of staff/contractors to report breaches without fear of retaliation.
  • Assistance in audits and providing access to necessary information.
